The Board of Directors (BOD) is the highest decision-making body that deliberates and resolves key management issues and fundamental policies, exercising responsible decision-making in accordance with applicable laws, regulations, and the Articles of Incorporation.

The Company continuously strengthens transparent board operations based on fair decision-making procedures and the principle of conflict-of-interest prevention.

MOTREX maintains an independent audit function led by a full-time auditor appointed at the general meeting of shareholders.

The auditor audits the Company's accounting and overall business operations and supervises management activities through the authority to request reports, review documents, and conduct investigations regarding the Board of Directors and subsidiaries.

Risk Management Structure

Internal Control Framework

The Company operates an enterprise-wide internal control framework based on the Internal Accounting Control System to ensure the reliability of financial reporting.

Under the supervision of the Board of Directors (BOD) and the auditor, the Internal Accounting Manager oversees the design and operation of the system. Key control activities are documented by process, and their effectiveness is verified through annual evaluations. The results of these evaluations are reported to management and the Board of Directors.

Internal Accounting Control System

MOTREX operates a prevention-oriented internal control framework based on the Internal Accounting Control System.

The Company applies IT-based control systems and segregation of duties to minimize the risk of errors and fraud. For sensitive transactions, risks are systematically managed through pre-approval and dual-review procedures.

Shareholder Policy

General Meeting of Shareholders

MOTREX holds regular General Meetings of Shareholders to enhance shareholder convenience in exercising voting rights and to strengthen management transparency.

Through advance notices and an electronic voting system, the Company encourages broader shareholder participation and operates a governance framework that protects shareholder rights and promotes transparent corporate governance.

Shareholder Communication

Based on trust as a core principle, the Company maintains transparent and continuous communication with shareholders.

With dedicated IR personnel, the Company provides timely and responsible responses to investor inquiries through continuous communication channels such as phone and email. Major management issues and risk-related information are disclosed through the Data Analysis, Retrieval and Transfer System (DART) and the Company's website as part of its commitment to open communication with shareholders.
